Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Ballad Labs, Inc. (“Ballad,” “we,” or “us”) governing your use of the Ballad website, web application, Slack integration, ballad.to hub pages, content API, and related services (together, the “Service”). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company, and “you” refers to it.
1. The Service
Ballad is a marketing system that plans content, drafts it in a voice learned from your writing, publishes it to channels you connect (such as LinkedIn, X, your own website, and your ballad.to page), measures the results, and proposes or applies adjustments to the plan. The Service is currently offered as a beta. Features may change, be added, or be removed, and we may limit access, usage, or volume at our discretion while in beta.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your login credentials and connected-account authorizations secure, and for all activity that occurs under your account. Tell us promptly at legal@balladlabs.com if you believe your account has been compromised.
3. Connected accounts and publishing on your behalf
To publish, Ballad needs authorization to act through third-party accounts you connect, such as social networks, your website, Slack, and analytics providers. When you connect an account you authorize Ballad to read from and post to it within the permissions you grant, and you agree to comply with that third party's terms. You can revoke this authorization at any time in the Service or with the third party.
Ballad only publishes within the autonomy level you have set for each capability and channel. Every capability starts in a mode that requires your explicit approval; higher levels of autonomy (such as one-tap or automatic approval) apply only when you enable them, and you may lower them at any time. Regardless of the autonomy level, you are responsible for everything published through your accounts and under your name, and you should review the plan and outputs regularly.
4. Your content and Ballad's output
You retain all rights to the material you provide to the Service, including writing samples, positioning, product information, and connected-account data (“Your Content”). You grant Ballad a worldwide, non-exclusive license to host, process, analyze, and create derivative works from Your Content solely to provide and improve the Service for you, including learning your voice and generating drafts.
As between you and Ballad, you own the drafts, articles, posts, images, and plans the Service generates for your account (“Output”), to the extent permitted by law. Output is generated by machine-learning systems and may be inaccurate, incomplete, or similar to output generated for others. You are responsible for reviewing Output before it is published and for ensuring it is accurate, lawful, and does not infringe the rights of others.
5. Acceptable use
You agree not to use the Service to:
- publish content that is unlawful, defamatory, deceptive, harassing, infringing, or that violates the terms of a connected platform;
- impersonate any person or organization, or misrepresent who is speaking (for example, publishing under a persona you are not authorized to represent);
- send spam, run coordinated inauthentic behavior, or artificially inflate engagement;
- probe, scrape, reverse-engineer, or interfere with the Service or its security, or access it by any means other than the interfaces we provide;
- resell or provide the Service to third parties without our written consent.
We may suspend or remove content or accounts that we reasonably believe violate these Terms or create risk for Ballad, its users, or third parties.
6. Fees
The Service is free while in beta. If we introduce paid plans, we will give you reasonable notice, and continued use after that notice will be subject to the pricing and payment terms published at the time. Any spending or volume caps you configure in the Service are limits Ballad will not exceed on your behalf.
7. Intellectual property
The Service, including its software, models, design, and documentation, is owned by Ballad Labs, Inc. and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted in these Terms, we reserve all rights. If you send us feedback, we may use it without obligation to you.
8. Third-party services
The Service depends on third-party platforms and providers, including social networks, hosting and analytics providers, and AI model providers. We do not control those services, and their availability, terms, and changes may affect the Service. Your use of a third-party service is governed by its own terms.
9. Privacy
Our Privacy Policy explains what data we collect and how we use it, and forms part of these Terms.
10. Beta status; disclaimer of warranties
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Ballad disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that Output will be accurate or suitable, or that any content will achieve particular results.
11. Limitation of liability
To the fullest extent permitted by law, Ballad will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service, even if advised of the possibility. Our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim or (b) one hundred US dollars (US$100).
12. Indemnity
You will defend and indemnify Ballad against claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, content published through your connected accounts, or your breach of these Terms or applicable law.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with notice where practical, including if you breach these Terms or if we discontinue the beta. On termination, your right to use the Service ends; content already published through your own accounts remains where it is and under your control. Sections that by their nature should survive (including 4, 7, and 10 through 15) will survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at legal@balladlabs.com and make a good-faith attempt to resolve it for thirty days.
15. General
These Terms are the entire agreement between you and Ballad about the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these Terms; if the change is material we will notify you (for example by email or in the Service) before it takes effect, and your continued use after that is acceptance of the updated Terms.
